RELEASE

By selecting yes and submitting a video that could possibly be shown in the program or series of programs currently known as AnimeTV (collectively, the “Program”), which Program is produced in whole or in part by Spotlight Entertainment LLC a California limited liability company (“Producer”) and/or Producer's affiliates, I acknowledge and agree to the terms set forth in this instrument (this “Release”).

For good and valuable consideration (the receipt and sufficiency of which are hereby acknowledged), I hereby acknowledge, certify and agree that any motion pictures, film shorts, videos and any other materials I submit for use on the Program (including, without limitation, all ideas, suggestions, themes, plots, stories, characterizations, dialogue, titles, illustrations and other material, whether in writing or not in writing) (collectively, called the “Material”), are and shall be the deemed to be “works made for hire” for Producer pursuant to United States copyright law. Accordingly, Producer is and shall be considered the author and sole and exclusive owner of the Material and all right, title and interest therein (the “Rights”). The Rights shall include, without limitation, all copyrights, trademarks and any and all other ownership and exploitation rights in the Material, including, without limitation, production, reproduction, distribution, adaptation, performance, fixation, rental and lending rights, exhibition, broadcast, and the exclusive right to exploit the Material throughout the universe in perpetuity in any and all media, markets and languages and in any manner now known or hereafter devised (including, without limitation, on the Program and in any other programs, motion pictures and/or other uses). If the foregoing grant of rights is not effective to place authorship and ownership of the Material and the Program and all rights therein in Producer, then I hereby grant, transfer and assign to Producer all of the Rights (including, without limitation, any and all of my right, title and interest in or to the Material). No rights of any kind in the Material are reserved by me.

Without limiting the foregoing grant of rights, I hereby irrevocably grant to Producer the right to change, add to, take from, translate, or reformat the Material in any manner Producer may in its sole discretion determine. To the fullest extent allowable under any applicable law, I hereby irrevocably waive or assign to Producer my so-called “moral rights” or “droit moral.” I expressly acknowledge that many parties will contribute to the Program and other works that will embody all or part of the Material. Accordingly, if under applicable law the above waiver or assignment by me of “moral rights” or “droit moral” is not effective, than I agree to exercise such rights in a manner which recognizes the contribution of and will not have a material adverse effect upon such other parties.

Producer shall have and is hereby granted the right throughout the universe in perpetuity to use and to license others to use the names, appearances, likenesses and voices of myself and any other persons who appear in the Material in and in connection with any exhibitions and/or exploitations of the Material and the Program and/or any other works containing the Material (including, without limitation, in connection with the advertising and/or publicizing of the Program and/or any other works containing the Material and/or any entities that exhibit the Program and/or other such works).

I understand and agree that I shall not be entitled to any monetary compensation in connection with the Material or the Program.

I represent and warrant that: (i) the Material is wholly original with me or in the public domain; (ii) the Material does not and shall not defame or disparage any person or entity or infringe upon or violate the rights of privacy, publicity or any other rights of any kind or nature whatsoever of any person or entity; (iii) the Material is not the subject of any litigation or of any claim that might give rise to litigation; (iv) no compensation or credit shall be due to myself or any other persons or entities as a result of any of Producer's uses of the Material and/or any exercise by Producer of any of its rights hereunder; (v) there are not and will not be outstanding any claims, liens, encumbrances in or to the Material and there are no rights of any kind or nature which can or will impair or interfere with any of the rights herein granted or agreed to be granted to Producer. I agree to indemnify, defend and hold harmless Producer and Producer's affiliates, and their respective employees, officers, members, directors, agents, successors, assigns and licensees, from and against any and all liabilities, claims, costs, damages and expenses (including reasonable attorneys' fees) arising out of or in connection with a breach of any of the foregoing representations and warranties.

I agree that all information I receive from Producer and/or in connection with the Program (including, without limitation, all ideas and materials and any information relating to trade secrets, concepts, ideas, plots, characters, dialogue, music, inventions, processes, designs, specifications, records, data, technology, research, drawings, notes, models, reports, samples, business plans, finances, and client identities, together with any material prepared by me which contains or otherwise relates to such information) (the “Confidential Information”) shall be treated by me as confidential and proprietary to Producer. I agree that at no time, whether before, during or after my services for or involvement with Producer and/or the Program shall I (i) disclose the Confidential Information to any third party without Producer's prior written consent nor (ii) use the Confidential Information in any way other than to the extent necessary to perform services to Producer. At any time upon Producer's request, I agree to return to Producer all Confidential Information which is in tangible form (including, without limitation, electronic form) as well as any other property of Producer. I acknowledge that the Confidential Information is of a special and unique character and that disclosure or use of the Confidential Information in violation of this Release will irreparably harm Producer, and Producer will not have an adequate remedy at law therefor. Accordingly, I agree that in the event of breach or threatened breach of the provisions of this paragraph by me, Producer shall be entitled to seek injunctive relief to prevent any use and/or disclosure of Confidential Information by me, in addition to all other remedies available to Producer at law or in equity.

I will upon request execute, acknowledge and deliver to Producer any and all documents which Producer may deem necessary or desirable to evidence, effectuate, enforce and/or protect all or any of Producer's rights hereunder. I hereby appoint Producer as my attorney-in-fact with full power to execute, acknowledge, deliver and record in the U.S. Copyright Office or elsewhere any and all such documents I fail to promptly execute and deliver upon Producer's written request. Such appointment shall be a power coupled with an interest and irrevocable.

My sole remedy for any breach or alleged breach of this Release or of any other agreement between Producer and me in connection with the Program shall be an action at law to recover such monetary damages, if any, as may have been actually suffered by me as a result thereof, and I hereby waive any and all right to injunctive or other equitable relief.

The rights granted to Producer hereunder may be freely assigned and licensed by Producer.

This Release shall be governed by the laws of the State of California, the courts located in Los Angeles County, California shall be the sole and exclusive venue for any claims or disputes arising hereunder.
